These Terms of Service (“Terms”) govern the use of the website jmwebforge.com and the general framework of services provided by JM WEBFORGE, Unipessoal LDA

2. Services
JM Webforge provides software development, IT consulting and digital/advertising services. The scope, deliverables, timelines and prices of each project are defined in an individual proposal or contract agreed with the client before work begins.
3. Use of this website
- The content of this website is provided for general information purposes and does not constitute a binding offer.
- You may not misuse this website, its contact form or its content for unlawful purposes, spam, or attempts to compromise its security.
- All content on this website (text, logo, design, code) is the intellectual property of JM Webforge and may not be reproduced without written permission.
4. Inquiries and contracts
- Sending an inquiry through the contact form does not create a contractual relationship.
- A contract is formed only upon written confirmation (email is sufficient) of a quote or proposal by both parties.
- Quotes are valid for 30 days unless otherwise stated.
5. Prices and payment
- Unless otherwise agreed in writing, invoices are payable within 14 days of issue.
- Work on prepaid packages begins after receipt of payment; work on postpaid terms begins after contract confirmation.
- Late payments may accrue statutory interest under Portuguese law (Decreto-Lei 62/2013).
- All prices are exclusive of VAT (IVA) unless explicitly stated otherwise.
6. Intellectual property
- Upon full payment, the client receives ownership or a perpetual licence of the deliverables specifically created for the client (e.g. website code, designs, texts), as defined in the project agreement.
- JM Webforge retains the right to use general know-how, libraries and reusable components created during the project.
- Until full payment, all deliverables remain the property of JM Webforge.
7. Warranties and liability
- JM Webforge warrants that services will be performed with professional care and in accordance with the agreed specification.
- We do not guarantee uninterrupted availability of third-party services (hosting providers, payment systems, advertising platforms) that are outside our control.
- To the maximum extent permitted by Portuguese and EU law, JM Webforge’s liability is limited to the amount paid by the client for the specific service giving rise to the claim.
- Liability for indirect or consequential damages (lost profits, lost data) is excluded except in cases of gross negligence or wilful misconduct.
8. Confidentiality
Both parties undertake to keep confidential all non-public business and technical information received from the other party and to use it solely for the purpose of the project. This obligation survives for 3 years after the end of the collaboration.
9. Termination
Either party may terminate a project agreement with 14 days’ written notice. The client pays for all work performed up to the termination date.
10. Governing law and jurisdiction
These Terms and any contractual relationship with JM Webforge are governed by the laws of Portugal, with exclusion of conflict-of-law rules. The competent courts are those of Lisbon, Portugal, unless mandatory consumer protection law provides otherwise.
11. Changes
We may update these Terms at any time; the current version is published on this page. Continued use of the website after publication constitutes acceptance.
